01Introduction

Welcome to IdeaHub Solutions LLC.

These Terms and Conditions ("Terms") govern access to and use of https://ideahubsolutions.com/ and related services offered directly by IdeaHub Solutions LLC ("IdeaHub," "Company," "we," "our," or "us").

IdeaHub is a business solutions company that connects strategy, technology, marketing, specialist talent, and artificial intelligence through its Build, Market, and Grow ecosystem.

By accessing or using our website, you agree to comply with these Terms to the extent permitted by applicable law.

Where services are purchased, the applicable proposal, statement of work, subscription agreement, or other written contract may contain additional terms.

If a separately executed service agreement conflicts with these general Terms, that agreement will govern the applicable services.

  • The ABC Team
  • RightTeamProvider
  • VirtualMediaEvents
  • Cotople

Each brand has its own service focus and may operate through a separate website, platform, contracting entity, or customer agreement.

The presence of a brand within the IdeaHub ecosystem does not automatically mean that all its services are included in an IdeaHub engagement.

Access to any brand's products or services may require a separate agreement, subscription, or purchase.

The legal entity named in the applicable contract is responsible for the obligations identified in that contract.

04Eligibility

Our website and professional business services are intended for individuals and organizations legally permitted to enter into business agreements.

By using our website or contracting for services, you represent that:

  • You are at least 18 years old or otherwise legally authorized.
  • You have the authority to act on behalf of your organization where applicable.
  • Information you provide is accurate and current.
  • You will comply with applicable laws and regulations.
  • You will use our services only for lawful purposes.

05Consultations and Business Inquiries

Our website may allow visitors to request a Growth Fit Call or submit an inquiry about business solutions.

Submitting an inquiry or booking a consultation does not automatically create a paid client relationship.

Consultations are intended to understand your business needs, explore potential solutions, and identify an appropriate next step.

Recommendations provided during preliminary consultations are informational and do not constitute guaranteed business outcomes or binding service commitments.

A formal service engagement begins according to the applicable written agreement or accepted commercial terms.

06Service Proposals and Scope of Work

Services are delivered according to the terms established in an approved proposal, statement of work, service agreement, or subscription.

These arrangements may define:

  • Project objectives
  • Scope and deliverables
  • Assigned responsibilities
  • Service duration
  • Pricing and billing terms
  • Client obligations
  • Delivery schedules
  • Revision allowances
  • Third-party platform requirements
  • Approval procedures
  • Support and maintenance responsibilities

Requests outside the approved scope may require additional fees, revised timelines, or separate authorization.

07Client Responsibilities

Clients are responsible for providing accurate information, timely approvals, and necessary materials for the delivery of contracted services.

Clients may be required to:

  • Provide project requirements and instructions
  • Supply content and branding assets
  • Grant appropriate access to required systems
  • Maintain valid third-party software accounts
  • Review deliverables and provide feedback
  • Approve campaign materials and communications
  • Ensure submitted data is collected and used lawfully
  • Obtain necessary intellectual property permissions
  • Comply with applicable advertising and privacy laws

IdeaHub is not responsible for delays directly caused by missing information, unavailable access, or client-controlled dependencies, subject to the applicable agreement.

08Fees and Payments

Fees for services are determined by applicable proposals, service agreements, subscriptions, or checkout terms.

Charges may include:

  • One-time project fees
  • Setup and onboarding fees
  • Recurring service subscriptions
  • Development and implementation fees
  • Software licensing costs
  • Usage-based charges
  • Third-party platform expenses
  • Approved additional services

Invoices and payment schedules will be governed by the applicable commercial agreement.

Unless otherwise agreed, clients remain responsible for third-party platform fees, advertising expenses, and additional services they authorize.

We may use trusted payment processing providers for billing and transactions.

09Subscription Services and Renewals

Some IdeaHub ecosystem services may be offered on a recurring subscription basis.

Subscription plans, billing periods, renewal arrangements, and applicable usage limits are determined by the relevant provider and the terms accepted at enrollment.

Automatic renewal will apply only as disclosed and authorized under the applicable subscription arrangement.

A subscription to one ecosystem service does not automatically include subscriptions to other ecosystem brands.

Any additional services or subscriptions must be obtained according to their separate terms.

10Cancellations and Refunds

Cancellation and refund eligibility are determined by the applicable proposal, service agreement, subscription terms, and mandatory legal requirements.

Clients should review cancellation conditions before purchasing services.

Depending on the agreement, completed work, incurred costs, or approved third-party expenses may remain payable after cancellation.

Subscription cancellation procedures are governed by the service provider responsible for the subscription.

To inquire about an IdeaHub engagement, contact info@ideahubsolutionsinc.com.

Nothing in these Terms limits statutory refund or cancellation rights that cannot legally be excluded.

11Project Delivery and Revisions

Project timelines depend on the approved scope of work, service capacity, client cooperation, and technical requirements.

Delivery dates are estimates unless expressly guaranteed in writing.

Revisions and change requests are handled according to the applicable agreement.

Additional work beyond the approved scope may require separate authorization and payment.

Projects involving external platforms or service providers may also depend on third-party availability.

12AI-Assisted Services and Automated Workflows

IdeaHub supports a human-led, AI-enabled approach to service delivery.

Depending on the engagement, artificial intelligence may assist with:

  • Content development
  • Research and analysis
  • Software development
  • Marketing workflows
  • Business process automation
  • CRM communications
  • Administrative tasks
  • Data organization and reporting

Human specialists may oversee AI-assisted work, while certain authorized AI agents may execute defined routine tasks within configured permissions.

Custom AI employees are software-based systems, not human employees.

Clients acknowledge that AI-assisted outputs may contain inaccuracies or require refinement.

Except where a separate service agreement provides otherwise, clients remain responsible for reviewing and approving materials and business decisions before use.

AI systems must not be used for unauthorized, unlawful, or otherwise prohibited activities.

13Data Protection and Confidentiality

IdeaHub may process business information, customer data, project materials, and other confidential records as part of authorized services.

Clients must ensure that they have the rights and permissions necessary to provide such information.

Both parties are expected to comply with applicable confidentiality and privacy obligations.

Specific data protection responsibilities may be established in a separate service agreement or Data Processing Agreement.

Our collection and use of personal information are further described in our Privacy Policy.

14Intellectual Property Rights

Unless otherwise agreed, the content and materials displayed on the IdeaHub website, including logos, text, graphics, website designs, and proprietary materials, belong to IdeaHub or their respective rights holders.

You may not reproduce, redistribute, or commercially exploit protected website content without appropriate authorization.

Clients retain ownership of the materials they lawfully provide.

Clients grant IdeaHub the limited rights reasonably necessary to use submitted materials for authorized service delivery.

Ownership and licensing of client deliverables are determined by the applicable service agreement.

Third-party software, stock materials, AI-generated assets, templates, and other licensed components may remain subject to separate intellectual property or licensing conditions.

15Software and Third-Party Integrations

IdeaHub may recommend, configure, or integrate third-party platforms, including:

  • CRM systems
  • Marketing automation software
  • Web hosting platforms
  • Analytics tools
  • Payment systems
  • Communication platforms
  • Artificial intelligence services
  • Project management software
  • Scheduling systems

Third-party products are governed by their providers' respective terms and privacy policies.

IdeaHub does not control independent changes to their pricing, availability, functionality, or service restrictions.

Where third-party costs are not expressly included in the service agreement, clients are responsible for those expenses.

16Staffing and Specialist Services

Certain ecosystem services provide access to global professionals, technical specialists, creative teams, and managed staffing solutions.

Specific working arrangements, assigned roles, responsibilities, service hours, management structures, and performance expectations are determined by the relevant provider's agreement.

The engagement of a specialist or service provider does not automatically create an employment relationship between the client and IdeaHub.

Any employment, contractor, or service relationship will be governed by the applicable agreement and law.

17Acceptable Use

You agree not to use the website or our services for activities that are unlawful, fraudulent, abusive, or harmful.

Prohibited activities include:

  • Unauthorized access to systems or information
  • Distribution of malware or harmful software
  • Fraudulent marketing or deceptive business activity
  • Infringement of intellectual property rights
  • Unlawful collection or disclosure of personal information
  • Unauthorized bulk messaging or unlawful spam
  • Misrepresentation of business identity
  • Interference with website or platform functionality
  • Attempts to bypass technical or security restrictions

We may restrict or suspend access where reasonably necessary to address a material violation, security incident, or unlawful activity, subject to applicable agreements and legal requirements.

18Marketing and Business Performance

IdeaHub and its ecosystem providers aim to deliver professional services that support client growth and operational improvement.

However, business results depend on multiple factors outside our control.

Unless expressly guaranteed in a written agreement, we do not promise specific:

  • Revenue or profit increases
  • Lead generation volumes
  • Customer acquisition outcomes
  • Advertising returns
  • Search engine rankings
  • Conversion rates
  • Operational cost savings
  • Staffing performance results

Any examples, projections, or estimates are provided for illustration and do not guarantee future performance.

19Website Availability

We make reasonable efforts to maintain the accuracy and accessibility of our website.

However, our website may occasionally experience technical errors, interruptions, updates, or maintenance periods.

We do not guarantee uninterrupted access or compatibility with every browser, device, or external service.

20Disclaimer of Warranties

Except where expressly provided by a written agreement or required by law, our website and informational content are provided on an "as available" basis.

We do not warrant that all website information will be complete, uninterrupted, or free of errors at all times.

Any service-specific warranties are determined by the applicable service agreement.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

21Limitation of Liability

To the maximum extent permitted by law, IdeaHub will not be liable for indirect, incidental, special, or consequential damages arising from website use or applicable service-related matters, except where liability cannot lawfully be excluded or an applicable agreement provides otherwise.

Any specific financial liability limits for contracted services will be determined by the applicable service agreement.

Nothing in these Terms restricts liability that cannot legally be limited.

22Indemnification

To the extent permitted by applicable law and governing agreements, clients may be responsible for third-party claims arising from unlawful instructions, misuse of services, or materials supplied without necessary authorization.

The allocation of legal responsibilities between parties will be governed by applicable contracts and laws.

23Suspension and Termination

IdeaHub may suspend or terminate access where permitted by law or contract, including situations involving:

  • Material violations of applicable terms
  • Nonpayment of required fees
  • Fraudulent or unlawful activities
  • Significant security risks
  • Unauthorized use of systems or services

The consequences of termination, including outstanding financial obligations and use of completed deliverables, will be governed by applicable agreements and law.

24Governing Law and Dispute Resolution

Service-related disputes will be governed by the jurisdiction and dispute resolution provisions specified in the applicable service agreement.

Where no separate governing-law provision applies, the appropriate jurisdiction will be determined according to applicable legal principles and mandatory legal protections.

We encourage parties to attempt to resolve concerns informally before pursuing formal proceedings.

Nothing in these Terms restricts rights that cannot legally be waived.

25Force Majeure

Neither party will be responsible for failure or delay caused by events beyond its reasonable control, subject to applicable contractual and legal requirements.

Such events may include natural disasters, major infrastructure interruptions, government restrictions, and extraordinary technical disruptions.

The affected party should provide appropriate notice and take reasonable steps to mitigate the impact where required.

26Changes to These Terms

IdeaHub may update these Terms to reflect changes in our services, operations, or legal obligations.

The effective date will be revised when updated Terms are published.

Material changes affecting existing paid agreements will be handled according to those agreements and applicable law.

27Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

Failure to enforce a provision does not automatically waive the right to enforce it later.
